1. Agreement and eligibility
These Terms of Service ("Terms") are a contract between you and Gavety Labs Pvt Ltd (CIN U62099OD2026PTC054087), MIG-2/7, Phase-3, Chhend Colony, Rourkela, Odisha – 769015, India ("Gavety", "we", "us"). They apply to the Gavety software, dashboard, website and related services (the "Service"). Our Privacy Policy explains how we handle personal data and forms part of these Terms for that purpose.
You may use the Service only if you are at least 18 years old and able to enter a binding contract. If you use it for an organisation, you confirm you have authority to bind that organisation. You accept these Terms by ticking the box when you create your account or purchase, or by using the Service. If you do not agree, do not use the Service.
2. The Service
Gavety connects devices you own so that you can reach files stored on your own hardware from other devices. Our servers handle account, licence and connection setup. Your files are stored on your drives and travel directly between your devices; we do not host, receive or monitor them.
The Service depends on your hardware, drives, internet connection and the networks in between, none of which we control.
3. Licence
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Gavety software on the number of devices you have licensed, for your own personal use (consumer licence) or your internal business use (business licence). A licence is tied to the device it is activated on.
We may in future let you move a licence to a replacement device (for example, if your device breaks); until we offer that, any replacement is at our discretion.
You may not: copy, modify or distribute the software except as these Terms allow; reverse engineer or decompile it except where the law gives you that right regardless of contract; bypass licence checks or share your licence across more devices than purchased; or resell or sublicense the Service. Some components are provided under open-source licences, which apply to those components. We keep all rights not expressly granted.
4. Your account
You must give accurate information, keep your credentials confidential and tell us promptly at support@gavetylabs.com if you suspect unauthorised use. You are responsible for activity under your account and on your devices.
5. Fees and payment
Prices are shown on our pricing page at the time of purchase. Currently, the device licence is a one-time fee per device and remote access is an annual fee per user; the pricing page controls if it differs. Payments are processed by Razorpay. Prices may exclude taxes, which you must pay where applicable. We may change prices for future purchases and renewals with at least 30 days' notice.
If an annual remote-access fee lapses, remote access will be disconnected. We do not delete the files on your devices. Remote access can be restored by paying the outstanding fee.
6. Refunds
Fees are non-refundable, except:
- where the law gives you a right to a refund, including for a defective Service we fail to fix;
- for duplicate or mistaken charges, which we will refund if you contact us within 30 days of the charge; and
- if you are a consumer in the EU or UK, for the statutory 14-day right to cancel, unless at checkout you expressly asked us to start immediately and acknowledged that you lose this right once the Service is fully provided (or, for the licence, once activated).
Nothing here limits rights you have under mandatory consumer law.
7. Your files and your responsibilities
Your files stay on your hardware. We do not host, receive, monitor or have access to them, so you alone are responsible for the files you store and share, for keeping backups, and for securing your devices, drives and credentials. You confirm that you have the rights needed to store and access your files and that doing so complies with the law.
8. Acceptable use
You must not use the Service to:
- store, access or share unlawful content, including child sexual abuse material, content promoting terrorism or violence, or content that infringes others' intellectual property or privacy;
- distribute malware, attack or probe systems, or try to disrupt or gain unauthorised access to the Service or other people's devices;
- harass, defraud or harm others, or break any law that applies to you;
- use the Service in breach of applicable export-control or sanctions laws, or if you are located in or ordinarily resident in a country or territory subject to comprehensive sanctions; or
- interfere with licensing or billing controls.
9. Legal requests, suspension and reporting
We do not monitor your files and cannot read them. We do respond to valid court orders and lawful government requests, and we cooperate with law enforcement as the law requires. We may suspend or end an account, device or remote access, with notice where practical, if: we receive a valid legal order or credible notice of unlawful use; you breach these Terms; you do not pay; or it is needed to protect the Service, other users or the law. Because we do not hold your files, suspension affects connectivity and licences, not the files on your devices.
To report unlawful use or send a legal notice, contact our Grievance Officer at privacy@gavetylabs.com.
10. Availability and changes to the Service
We work to keep the Service available, but we do not promise uninterrupted or error-free operation, and remote access depends on third-party networks and on your own devices. We may maintain, update, change or discontinue features. If we make a change that materially reduces what you paid for, we will give you reasonable notice.
11. Disclaimer of warranties
To the fullest extent the law allows, the Service is provided "as is" and "as available". We do not promise that the Service will meet your needs, be uninterrupted or secure, or that data will never be lost. We exclude all implied warranties that can lawfully be excluded. Nothing in these Terms excludes guarantees or rights you have under mandatory consumer law.
12. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, including loss caused by device or drive failure, compromised credentials, network problems, third-party attacks or your improper use; and
- our total liability to you for all claims relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the claim arose and (b) US$100 per licensed user.
Nothing in these Terms limits liability for fraud or wilful misconduct, for death or personal injury caused by negligence, or for anything that cannot be limited by law, including our statutory duty to maintain reasonable security safeguards for personal data we hold.
13. Your indemnity
To the extent the law allows, you will compensate us for third-party claims, losses and reasonable costs arising from the files you store or share, your breach of these Terms or your breach of the law. This does not apply to the extent a claim is caused by us.
14. Termination
You may stop using the Service and close your account at any time. We may end these Terms or your access as set out in section 9, or on 30 days' notice for any reason (in which case we will refund any prepaid fees for the period after termination). When these Terms end, your licence ends and remote access stops; sections that by their nature should continue, including sections 6 to 7 and 11 to 16, continue to apply.
15. Governing law and disputes
These Terms are governed by the laws of India. If a dispute arises, please first write to our Grievance Officer at privacy@gavetylabs.com; we will try to resolve it in good faith within 30 days.
If it is not resolved, it will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement or, failing that, as the Act provides. The seat and venue are Rourkela, Odisha, India, and the language is English. The courts at Rourkela, Odisha have jurisdiction for interim relief and for enforcement of awards.
This section does not take away rights you cannot waive under mandatory law, such as the right of a consumer to approach a Consumer Commission in India or, for consumers in the EU or UK, to bring claims in the courts of their country of residence.
16. Changes to these Terms
We may update these Terms. We will post the new version with a new date and, for material changes, email registered users and show a notice in the dashboard at least 30 days before the change takes effect. If you do not agree, you can stop using the Service before the change takes effect. These Terms are version 1.0, effective October 21, 2026.
17. General
These Terms and the Privacy Policy are the entire agreement between us about the Service. If a provision is unenforceable, the rest continues. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor to our business. Neither party is liable for delay caused by events beyond its reasonable control. Notices to you may be sent to your account email; notices to us go to support@gavetylabs.com. Third-party services we use (such as Razorpay) are governed by their own terms.
